1. Agreement to These Terms
By engaging Boyse Web Design ("we," "us") for any service — whether by paying a deposit, signing a proposal, or verbally confirming a project — you ("the client") agree to these Terms of Service. These terms apply to all services we provide, including web design, SEO, hosting, Google Business Profile management, Google Ads management, and the Business Launch Bundle.
These terms may be supplemented by a written project proposal or contract specific to your engagement. In the event of a conflict, the written proposal takes precedence.
2. Services Provided
Boyse Web Design provides the following categories of service:
- Web Design: Custom WordPress website design and development
- SEO Services: Local search engine optimization, technical SEO, and on-page optimization
- Hosting & Care: Managed WordPress hosting, security monitoring, backups, and software updates
- Google Services: Google Business Profile setup and management, Google Ads setup and management
- Business Launch Bundle: LLC filing assistance, business card design and print, starter website, and first-year hosting
The specific deliverables, timeline, and pricing for your project are defined in your proposal. We reserve the right to decline any project at our discretion.
Note on LLC Filing: When LLC formation is included as part of the Business Launch Bundle, we assist with preparing and submitting the state filing on your behalf. We are not a law firm and do not provide legal advice. We recommend consulting an attorney for legal questions about your business structure.
3. Project Process & Client Responsibilities
Successful projects require active participation from both parties. As the client, you are responsible for:
- Providing all content (text, photos, logos, brand assets) needed for your project in a timely manner unless copywriting or photography has been explicitly included in your scope
- Reviewing drafts and providing clear, consolidated feedback within agreed-upon review windows
- Designating a single point of contact if multiple stakeholders are involved
- Providing access to platforms we need to complete the work (e.g., your domain registrar, existing hosting account, Google account) in a timely manner
- Making payments on schedule per your agreed payment terms
Project timelines depend on both parties meeting their responsibilities. If the project stalls due to delayed content, feedback, or approvals from the client side, the timeline will extend accordingly. We cannot guarantee a specific launch date if client-side delays occur.
4. Payment Terms
One-Time Projects (Web Design, Business Launch Bundle)
Standard payment terms for project-based work:
- 50% deposit due before work begins — this secures your spot in the schedule
- 50% final payment due before the website goes live or final files are delivered
For larger projects, milestone-based payment schedules may be established in the project proposal.
Ongoing Services (Hosting, SEO, Google Ads)
Monthly and annual services are billed as follows:
- Annual hosting plans are billed in full at the start of the service period
- Monthly SEO and Google Ads management are billed at the start of each month
- Services continue until cancelled in writing with at least 30 days' notice
Late Payments
Invoices are due within 14 days of issue unless otherwise agreed in writing. For overdue invoices, we reserve the right to pause active services (including hosting, SEO, and Google Ads management) until the account is current. We will communicate before any service interruption.
Refunds
Deposits are non-refundable once work has begun, as they compensate for time reserved and work completed. If a project is cancelled before work begins, the deposit may be refunded at our discretion. Monthly ongoing services are not refunded for the current billing period.
5. Revisions & Scope
Each project proposal specifies the number of included revision rounds. A revision round is a single consolidated set of changes submitted after reviewing a design or content draft.
Revisions within scope are included at no extra charge. Changes that expand the scope of the original agreement — such as adding pages, sections, or features not originally specified — are treated as additional work and quoted separately.
We do our best to interpret feedback accurately. If a revision does not match your intent, please provide additional clarification and we will address it. We do not count correcting a misunderstanding as an additional revision.
6. Intellectual Property & Ownership
Your Content
All content you provide — text, photos, logos, brand assets — remains your property. By providing it to us, you grant us a license to use it solely for the purpose of completing your project.
You represent that you own or have the rights to all content you provide, and that it does not infringe on the intellectual property of others. You are responsible for ensuring your content complies with applicable laws.
Completed Work Product
Upon receipt of final payment, ownership of the completed website design — including custom graphics, layouts, and code written specifically for your project — transfers to you.
Third-party components (WordPress core, plugins, stock photography, licensed fonts, theme frameworks) remain subject to their respective licenses. We will disclose what third-party elements are used in your project.
Portfolio Use
We reserve the right to display completed work in our portfolio and use it as an example of our work in marketing materials. If you prefer your project not be featured, let us know and we will respect that request.
7. Hosting & Ongoing Services
Hosting plans include managed WordPress hosting, SSL certificates, daily backups, security monitoring, and software updates as described in your hosting plan.
- We perform routine maintenance during low-traffic windows and will communicate any planned downtime in advance
- We are not responsible for data loss resulting from events outside our control (hosting provider outages, natural disasters, malicious attacks that bypass security measures)
- Clients are encouraged to retain their own copies of important website content
- Hosting plans do not include design changes, content updates, or new page builds — these are quoted separately as needed
For Google Ads management, monthly ad spend goes directly from you to Google. We never hold or pass through ad budget. Our management fee covers the setup, optimization, and reporting of your campaigns — not the ad spend itself.
8. Third-Party Services & Platforms
Many of our services involve third-party platforms (Google, WordPress, domain registrars, hosting providers, state filing systems). We are not responsible for:
- Changes to third-party platform policies, algorithms, or features
- Downtime or service interruptions on third-party platforms
- Actions taken by Google regarding your Business Profile, Ads account, or search rankings
- State processing times for LLC filings or delays caused by government offices
SEO results are not guaranteed. Search engine rankings are determined by Google's algorithms, which are outside our control. We apply established best practices and are transparent about what we're doing and why — but we cannot promise specific ranking positions or traffic numbers.
9. Termination
Client-Initiated Cancellation
You may cancel ongoing services (hosting, SEO, Google Ads management) at any time with 30 days' written notice to boysewebdesign@gmail.com. You remain responsible for payment through the end of the notice period.
Project-based work may be cancelled at any time, but work completed to the point of cancellation is billable. The deposit is non-refundable once work has begun.
We-Initiated Termination
We reserve the right to terminate any engagement if:
- Payment is significantly overdue and not resolved after notice
- The client requests work that is illegal, deceptive, or violates the rights of others
- The working relationship becomes untenable
In such cases, we will provide reasonable notice. Payment for work completed to that point remains due.
10. Limitation of Liability
To the maximum extent permitted by law, Boyse Web Design's total liability for any claim arising from our services is limited to the amount paid by you for the specific service giving rise to the claim.
We are not liable for indirect, incidental, or consequential damages — including lost revenue, lost business, or reputational harm — even if we have been advised of the possibility of such damages.
This limitation does not apply to liability that cannot be excluded by law.
11. Governing Law
These Terms of Service are governed by the laws of the State of Iowa, United States. Any disputes arising from these terms or from a service engagement shall be resolved in the courts of Washington County, Iowa, unless another venue is mutually agreed upon.
We encourage resolving disputes directly. If you have a concern, please contact us first — we will make every reasonable effort to address it.
